EduCore Terms and Conditions

Introduction

These Terms and Conditions (“Agreement”) constitute a legally binding contract between EduCore LLC (“EduCore,” “we,” “us,” or “our”) and the entity or individual (“User,” “you,” or “your”) accessing or using EduCore’s software, services, and related applications (collectively, the “Platform”). By accessing or using the Platform, you acknowledge that you have read, understood, and agreed to abide by the terms set forth in this Agreement. EduCore operates as an educational software provider offering administrative, academic, financial, and communication solutions to schools, districts, and educational institutions within the United States and applicable international jurisdictions.

This Agreement governs:

  • Use of EduCore’s web-based applications, mobile applications, and cloud-based systems.
  • Schools, administrators, teachers, parents, and students are responsible for using the Platform.
  • Compliance with applicable laws, including the Family Educational Rights and Privacy Act (FERPA), the Children’s Online Privacy Protection Act (COPPA), the General Data Protection Regulation (GDPR) (where applicable), and other relevant state and federal regulations.

If you do not agree to these Terms and Conditions, you may not use the Platform.

Definitions

For the purposes of this Agreement, the following definitions apply:

  • “User” refers to any individual or entity accessing the Platform, including but not limited to school administrators, teachers, staff, parents, and students.
  • “Educational Institution” refers to any school, district, or authorized organization that has entered into a service agreement with EduCore.
  • “Data Controller” refers to the Educational Institution that determines the purposes and means of processing personal data.
  • “Data Processor” refers to EduCore as an entity processing data on behalf of the Educational Institution.
  • “Personal Data” means any information related to an identified or identifiable individual, including students, parents, staff, or third parties.
  • “Confidential Information” means any non-public information, including but not limited to student records, financial transactions, intellectual property, and proprietary software details.

Account Registration and User Responsibilities

Account Creation

  • Users may access the Platform only after being provided credentials by their Educational Institution.
  • Users must maintain the confidentiality of their login credentials and may not share or disclose credentials to unauthorized third parties.

User Conduct

Users agree:

  • To use the Platform solely for lawful educational purposes.
  • To refrain from unauthorized access, data extraction, reverse engineering, or software manipulation.
  • To ensure the accuracy of all data entered into the Platform.

Prohibited Activities

Users may not:

  • Engage in data scraping, malware distribution, system exploitation, or unauthorized modifications of the Platform.
  • Use the Platform to distribute harmful, defamatory, obscene, or illegal content.
  • Transfer access credentials to unauthorized individuals.

Data Collection, Processing, and Privacy

Compliance with FERPA, COPPA, and GDPR

EduCore processes student data under the direction of Educational Institutions, which serve as Data Controllers. EduCore acts as a Data Processor in compliance with the following:

  • FERPA: Schools maintain control over student records, and parents or eligible students retain rights to access and correct data.
  • COPPA: Schools must obtain verifiable parental consent before collecting or processing data for children under 13 years of age.
  • GDPR (where applicable): Schools serving students in the European Union must comply with GDPR’s data protection principles.

Types of Data Processed

EduCore processes the following categories of information:

  • Student Records: Grades, attendance, disciplinary history, and academic performance.
  • Parent and Guardian Data: Contact details, payment information, and communication preferences.
  • Staff Information: Payroll data, employment records, and administrative credentials.

Data Retention and Deletion

  • Educational Institutions determine data retention periods.
  • EduCore deletes personal data within six months after contract termination unless legal requirements mandate longer retention.

Intellectual Property Rights

EduCore’s Proprietary Rights

All intellectual property within the Platform—including software code, databases, designs, logos, trademarks, and documentation—remains the sole property of EduCore.

License Grant

  • EduCore grants Users a limited, non-exclusive, revocable, and non-transferable license to access and use the Platform for educational purposes.
  • Users may not reproduce, modify, distribute, or create derivative works based on EduCore’s intellectual property.

User-Generated Content

Users retain rights to any content they submit but grant EduCore a license to process, store, and display content as necessary for educational functionality.

Fees, Payments, and Subscription Terms

Pricing Structure

EduCore’s services operate under a subscription-based pricing model, with fees determined by Educational Institutions based on student enrollment numbers.

Billing and Payment Terms

  • Payments are due annually in advance unless otherwise agreed upon.
  • Late payments may incur interest charges at the maximum rate permitted by law.

Cancellation and Refunds

  • EduCore does not provide refunds for services rendered unless contractually specified.
  • Termination of service requires 60 days’ written notice.

Warranties and Disclaimers

Platform Availability

EduCore aims to maintain 99.9% uptime but does not guarantee uninterrupted access due to system maintenance, cyberattacks, or force majeure events.

Disclaimer of Liability

EduCore provides services “as is” without warranties of any kind, either express or implied. EduCore is not responsible for:

  • Data loss caused by third-party services or user error.
  • System downtime due to internet connectivity issues.
  • Unauthorized access resulting from user negligence.

Limitation of Liability

To the maximum extent permitted by law:

  • EduCore’s total liability arising from any claim shall not exceed the total fees paid by the Educational Institution within the previous 12 months.
  • EduCore shall not be liable for indirect, consequential, punitive, or incidental damages, including lost profits or data breaches.

Indemnification

Users agree to indemnify and hold EduCore harmless against any claims, damages, or legal expenses arising from:

  • Unauthorized data access or breaches caused by User negligence.
  • Violations of applicable laws while using the Platform.
  • Misuse or unauthorized modification of EduCore’s services.

Grounds for Termination

EduCore reserves the right to suspend or terminate accounts for:

  • Breach of this Agreement.
  • Non-payment of subscription fees.
  • Fraudulent or illegal activity within the Platform.

Effect of Termination

  • Users immediately lose access to the Platform upon termination.
  • Data remains accessible to Educational Institutions for 30 days post-termination before deletion.

Governing Law and Dispute Resolution

  • This Agreement is governed by the laws of the State of Delaware, United States.
  • Disputes shall be resolved through binding arbitration under the rules of the American Arbitration Association (AAA).

Amendments and Updates

EduCore reserves the right to modify these Terms and Conditions at any time. Users will receive 30 days’ notice of changes via email or system alerts. Continued use constitutes acceptance of modifications.
